1. የንግድ ማኅህበራት ጽንሰ ሀሳብ በኢፊድሪ ህገመንግስት...
ሰወች በግልም በሆነ በህብረት የንግድ ስራን የመስራት መብት በኢፊድሪ ህገ መንግስት በቀድሞውም ሆነ በአዲሱ የንግድ አዋጅ ሆነ በሌሎች አግባብነት ያላቸው አዋጆች የተሰጠ መብት ነው። የንግድ ስራዎችን ለመስራት የመደራጀት መብት በኢ.ፌ.ዲ.ሪ ህገ-መንግስት አንቀፅ 31 ላይ ማንኛውም ሰው ለማንኛውም ዓላማ በማህበር የመደራጀት መብትን የሚፈቅድ መሆኑን የሚያመላክት ነው፡፡ ይህ በንግድ ማህበራት የመደራጀት መብት በህገመንግስቱ አንቀፅ 41(2) “ሁሉም ኢትዮጵያዊ መተዳደርያውን ስራውንና ሙያውን የመምረጥ መብት አለው” ከሚለው ህገ-መንግስታዊ መብት አንፃር ያየነው እንደሆነም ዜጎች አዋጪ ነው ባሉት የንግድ ማህበር መርጠው እንደ መተዳደርያ ስራቸው ሊወስዱት የሚያስችል ህገመንግስታዊ መብት ያላቸው መሆኑን በቀላሉ መረዳት የሚቻል ነው።

2. የንግድ ማህበራት አይነቶች በአዲሱ ንግድ ህግ አዋጅ ቁጥር 1243/13
በአዲሱ የንግድ ሕግ አንቀጽ 174 መሰረት በእኛ ሀገር ሰባት ዓይነት የንግድ ማኅበራት አሉ፡፡

እነሱም፡-
• የኅብረት ሽርክና ማኅበር / General Partnership/
• ሁለት አይነት ኃላፊነት ያለበት የሽርክና ማህበር /Limited Partnership/
• ኃላፊነቱ የተወሰነ የሽርክና ማኅበር /Limited Liability Partnership/
• የአሽሙር ማህበር /Joint Ventur/
• የአክሲዮን ማህበር /Share Company/
• ኃላፊነቱ የተወሰነ የግል ማህበር /Private Limited Company/ እና
• ባለ አንድ አባል ኃላፊነቱ የተወሰነ የግል ማኅበር / One Person private limited Company/ ናቸው፡፡
2 የእያንዳንዱ ንግድ ማህበራት ባህሪይ በአዲሱ ንግድ ህግ ....

2.1. የኅብረት ሽርክና ማህበር

የህብረት ሽርክና ማህበር በአዲሱ የንግድ ሕግ አንቀጽ 283 መሰረት ማኅበርተኞች እያንዳንዳቸው ባንድነትና ሳይከፋፈል እርስ በርሳቸውና ለማህበሩ ግዴታዎች አላፊዎች የሚሆኑበት ማኅበር ነው፡፡ ይህም ማለት ማህበሩ ለሚያጋጥመው አደጋ ወይም እዳ ሁሉ እያንዳንዱ አባል በግሉ፣ ወይም ሁሉም በአንድነት ወይም ከሁሉም የተወሰኑት ብቻ በተናጥል ለእዳው ተጠያቂ ሊሆኑ ይችላሉ ማለት ነው፡፡ ማንኛዉም ተቃራኒ ስምምነት ሦስተኛ ወገኖችን መቃወሚያ ሊሆን አይችልም፡፡

2.2. ሁለት ዓይነት ኃላፊነት ያለበት የሽርክና ማኅበር....

ሁለት ዓይነት ኃላፊነት ያለበት የሽርክና ማኅበር ከስሙ እንደምንረዳው የማኅበርተኞቹ ኃላፊነት የተለያየ የሆነበት ማኅበር ነዉ፡፡ እነሱም ኃላፊነታቸዉ ያልተወሰነ ሸሪኮችና ኃላፊነታቸዉ የተወሰነ ሸሪኮች ናቸው፡፡ በአዲሱ የንግድ ህግ አንቀጽ 212 መሰረት ኃላፊነታቸው ያልተወሰነ ሸሪኮች የሚባሉት ለማኅበሩ ግዴታዎች በሙሉ ከማኅበሩ ጋር በአንድነትና በተናጠል ኃላፊነት ያለባቸዉ ሲሆን ኃላፊነታቸዉ የተወሰነ ሸሪኮች ደግሞ መዋጮ ለማድረግ ቃል በገቡት መጠን ብቻ ለማኅበሩ ግዴታች ኃላፊ የሚሆኑ ናቸዉ፡፡ ኃላፊነታቸው የተወሰነ ሸሪኮች በወክልናም ሆነ በሌላ በማንኛዉም ሁኔታ የማህበሩ ሥራ አስኪያጅ መሆን አይችሉም፡፡

2.3 ኃላፊነታቸው የተወሰነ የሙያ ሽርክና ማኅበራት ....

በአዲሱ የንግድ ህግ ውስጥ ከተካተቱ ጉልህ ለውጦች መካከል አንዱ የሆነው ይህ አዲስ የሽርክና ማህበር አይነት፣ ሰዎች በተለይም የሙያ ስራዎችን ለመስራት በሙያ ከሚመስሏቸው ሌሎች ሰዎችና ለሙያው ደጋፊ የሆነ አገልግሎት ሊሰጡ ከሚችሉ አጋሮቻቸው ጋር ሁለት ወይም ከዚያ በላይ ሆነው የሚያቋቁሙት እና ኃላፊነቱም በሽርክና ማኅበሩ ሃብት ላይ ብቻ የተወሰነ የንግድ ማኅበር ነው።

2.4 የአሽሙር ማህበር....

የአሽሙር ማህበር ሁለትና ከዚያ በላይ በሆኑ ሰዎች በመካከላቸዉ በሚያደርጉት ስምምነት መሠረት የሚያቋቁሙት ሲሆን ከሌሎች ለየት የሚያደርገው በጽሁፍ መረጋገጥና በሌሎች የንግድ ማህበሮች የተደነገጉ የማስመዝገብ ሰርዓቶች የማይፈፀሙበት፣ የሕግ ሰዉነት የሌለውና በሶስተኛ ወገኖች ዘንድ የማይታወቅ መሆኑ ሲሆን ከታወቀ ግን እንደ ሕብረት ሽርክና ማህበር እንደሚቆጠር ሊታወቅ ይገባል፡፡

2.5 የአክሲዮን ማህበር...

የአክሲዮን ማህበር ማለት በአዲሱ የንግድ ሕግ አንቀጽ 245 መሰረት ዋናው ገንዘቡ ወይም ካፒታሉ አስቀድሞ ተወስኖ በአክስዮን የተከፋፈለና ኃላፊነቱ በማኅበሩ ሀብት ብቻ የተወሰነ (ለዕዳው ንብረቱ ብቻ ዋስ የሆነ) ማኅበር ነው፡፡

2.6 ኃላፊነቱ የተወሰነ የግል ማህበር...

በአዲሱ የንግድ ሕግ አንቀጽ 495 መሰረት ኃላፊነቱ የተወሰነ የግል ማህበር ማለት ዋና ገንዘቡ በሙሉ አስቀድሞ የተከፈለ፣ በአክስዮን የተከፈለ እና ባለአክስዮኖች መዋጮቸዉን ገቢ እስካደረጉ ድረስ ለማኅበሩ ዕዳ ኃላፊ የማይሆኑበት የንግድ ማኅበር ነዉ፡፡

2.7 ባለአንድ አባል ኃላፊነቱ የተወሰነ የግል ማኅበር ...

ባለ አንድ አባል ኃላፊነቱ የተወሰነ የግል ማኅበር ማለት አንድ ሰዉ በግሉ በሚሰጠዉ መግለጫ መሰረት የተቋቋመ የንግድ ማኅበር ነዉ፡፡ ማኅበሩ ከአባሉ የተለየና የተነጠለ የራሱ የሕግ ሰዉነት አለዉ፡፡ አባሉ የራሱን መወጮ ሙሉ በሙሉ እስከ ከፈለ ድረስ ማኅበሩ ላይ ለሚፈለገዉ ዕዳ በግሉ አይጠየቅም፡፡ የማኅበሩ ዝቅተኛ ዋና ገንዘብ ከ ብር አስራ አምስት ሺህ ማነስ የለበትም፡፡ ማኅበሩን ለማቋቋም አባሉ የሚሰጠዉ መግለጫ ሰነዶችን ለማረጋገጥ ሥልጣን በተሰጠዉ አካል ፊት መደረግ አለበት፡፡ መግለጫዉም በንግድ መዝገብ ዉስጥ መግባት አለበት፡፡ ግለሰብ ነጋዴ የንግድ ሥራዉን ወደ ባለ አንድ አባል ኃላፊነቱ የተወሰነ የግል ማኅበርነት መለወጥ ይችላል፡፡

2.8 ኃላፊነቱ የተወሰነ የግል ማህበር ወደ ባለ አንድ ኃላፊነቱ የተወሰነ የግል ማህበር የሚቀየርበት ምክንያት...

ኃላፊነቱ የተወሰነ የግል ማህበር የአክስዮን አባላቱ እየቀነሱ በመምጣት ወደ አንድ ዝቅ ካለ እና በስድስት ወር ጊዜ ዉስጥ ሌላ ሰዉ ካልገባ ማኅበሩ የሚፈርስ ይሆናል። ይሁን እንጂ ይህ ካልሆነ የባለአክስዮኖቹ ቁጥር ወደ አንድ ዝቅ ካለበት ቀን ጀምሮ በስድስት ወራት ዉስጥ የመመስራቻ ጽሁፉን በማሻሻል ባለአንድ አባል ኃላፊነቱ የተወሰነ የግል ማኅበር አድርጎ ማስመዝገብ ይቻላል።

2.9 ባለ አንድ ኃላፊነቱ የተወሰነ የግል ማህበር በአዲሱ ማህበር የተካተተበት ዋና አላማ...

ይህ ማህበር በአዲሱ ንግድ የተካተተ ሲሆን ግለሰቦች የንግድ ስራቸውን ሲያከናውኑ ከራሳቸው ከግላቸው ሀብት በመነጠል የሚያቋቁሙት ማህበር በእዳም ቢሆን በህግ ጉዳዮች ክንውኖች የራሱን ጉዳይ ራሱ ማህበሩ ህጋዊ ሰውነት ኖሮት ህጋዊ የነሰግድ ስራዎችን የሚያንቀሳቅስ ነው። በመጀመሪያው ንግድ ህግ ይህ ማህበር ባለመኖሩ ባለሀብቶች ይህን እድል መጠቀም አልቻሉም በቀድሞው ህግ ይህ ባለ አንድ ማህበር ስለሌለ ለቁጥር ብቻ አባሉ ከሁለት በላይ እንዲሆን ዘመዱን ቤተሰቡን አስገብቶ ሀብቱ የራሱ ብቻ ነገር ግን ሁለትና ከዚያ በላይ በሆኑ ሰወች እንደ ተመሠረተ በማድረግ ማህበሩ የሚመሰረት ሲሆን አለመግባባት ሲፈጠር ባለሀብት እንደፈለገ መምራት ያስቸግረዋል። በአዲሱ የንግድ ህግ ግን ይህ ማህበር በመፈቀዱ በአንድ አባል ኃላፊነቱ የተወሰነ የግል ማህበር መቋቋም በህግ መፈቀዱ ለባለሀብቶች ወሳኝነት ያለው ሲሆን ለንግድ እንቅሰቃሴው ከፍተኛ በርን የሚከፍት ነው።ግለሰብ ነጋዴ የንግድ ሥራዉን ወደ ባለ አንድ አባል ኃላፊነቱ የተወሰነ የግል ማኅበርነት መለወጥ ይችላል፡፡ ሌላው ግለሰብ ነጋዴዎችም ባለ አንድ አባል ኃላፊነቱ የተወሰነ የግለሰብ ማኅበር ለመመስረት እና ባለ አንድ ማህበር መስረተው ንግዳቸውን እንዲያንቀሳቅሱ የሚረዳ ነው። ይሁን እንጂ ይህ ከመሆኑ ቀድሞ ለነበረበት ማህበር ከመሆኑ በፊት በግለሰብ ደረጃ ቀድሞ ለነበረበት ለግለሰብ ንግድ ስራ ለገባበት ዕዳ ሁሉ ከማኅበሩ ጋር በአንድነት እና በተናጠል ኃላፊ ነዉ፡፡
የተፈቀደ ሲሆን ይህ ለባለሀብቶች ትልቅ የንግድ
መስመር ነው።

3. ማጠቃለያ

በኢትዮጵያ የንግድ ማህበር የተለያየ አይነት የንግድ ማህበራት የሚገኙ ሲሆን እነዚህም ለተፈለገው የንግድ አለማ የትኛው እንደ ሚሻል የንግድ ህግ ባለሙያ በማማከር አስፈላጊ ነው የሚባለውን ማህበር እንደ ንግዱ አይነት ለመመስረት የሚያስፈልገውን መስፈርት በሟሟላት መመስረት የሚቻል ሲሆን ባለአነድ ኀላፊነቱ የተወሰነ የግል ማህበርም በአንድ ሰው የሚመሰረት ራሱን የቻለ የህግ ሰውነት ያለው ሲሆን ለማህበሩ አጠቃላይ ኃላፊነቱን ራሱ ማህበሩ የሚወስድ መሆኑን በዚህ አስፍረናል። ዋናው የዚህ ጹሁፍ ዋና አላማ የንግድ ማህበር አይነቶችን ምን እንደሚመስሉ ከህግ አንጻር ለእናንተ ለማሳወቅ ነው።

2. የንግድ ማህበራት አይነቶች በአዲሱ ንግድ ህግ አዋጅ ቁጥር 1243/13

በአዲሱ የንግድ ሕግ አንቀጽ 174 መሰረት በእኛ ሀገር ሰባት ዓይነት የንግድ ማኅበራት አሉ፡፡ እነሱም፡-
• የኅብረት ሽርክና ማኅበር / General Partnership/
• ሁለት አይነት ኃላፊነት ያለበት የሽርክና ማህበር /Limited Partnership/
• ኃላፊነቱ የተወሰነ የሽርክና ማኅበር /Limited Liability Partnership/

2 የእያንዳንዱ ንግድ ማህበራት ባህሪይ በአዲሱ ንግድ ህግ ....

2.1. የኅብረት ሽርክና ማህበር

የህብረት ሽርክና ማህበር በአዲሱ የንግድ ሕግ አንቀጽ 283 መሰረት ማኅበርተኞች እያንዳንዳቸው ባንድነትና ሳይከፋፈል እርስ በርሳቸውና ለማህበሩ ግዴታዎች አላፊዎች የሚሆኑበት ማኅበር ነው፡፡ ይህም ማለት ማህበሩ ለሚያጋጥመው አደጋ ወይም እዳ ሁሉ እያንዳንዱ አባል በግሉ፣ ወይም ሁሉም በአንድነት ወይም ከሁሉም የተወሰኑት ብቻ በተናጥል ለእዳው ተጠያቂ ሊሆኑ ይችላሉ ማለት ነው፡፡ ማንኛዉም ተቃራኒ ስምምነት ሦስተኛ ወገኖችን መቃወሚያ ሊሆን አይችልም፡፡

2.2. ሁለት ዓይነት ኃላፊነት ያለበት የሽርክና ማኅበር....

ሁለት ዓይነት ኃላፊነት ያለበት የሽርክና ማኅበር ከስሙ እንደምንረዳው የማኅበርተኞቹ ኃላፊነት የተለያየ የሆነበት ማኅበር ነዉ፡፡ እነሱም ኃላፊነታቸዉ ያልተወሰነ ሸሪኮችና ኃላፊነታቸዉ የተወሰነ ሸሪኮች ናቸው፡፡ በአዲሱ የንግድ ህግ አንቀጽ 212 መሰረት ኃላፊነታቸው ያልተወሰነ ሸሪኮች የሚባሉት ለማኅበሩ ግዴታዎች በሙሉ ከማኅበሩ ጋር በአንድነትና በተናጠል ኃላፊነት ያለባቸዉ ሲሆን ኃላፊነታቸዉ የተወሰነ ሸሪኮች ደግሞ መዋጮ ለማድረግ ቃል በገቡት መጠን ብቻ ለማኅበሩ ግዴታች ኃላፊ የሚሆኑ ናቸዉ፡፡ ኃላፊነታቸው የተወሰነ ሸሪኮች በወክልናም ሆነ በሌላ በማንኛዉም ሁኔታ የማህበሩ ሥራ አስኪያጅ መሆን አይችሉም፡፡

2.3 ኃላፊነታቸው የተወሰነ የሙያ ሽርክና ማኅበራት ....

በአዲሱ የንግድ ህግ ውስጥ ከተካተቱ ጉልህ ለውጦች መካከል አንዱ የሆነው ይህ አዲስ የሽርክና ማህበር አይነት፣ ሰዎች በተለይም የሙያ ስራዎችን ለመስራት በሙያ ከሚመስሏቸው ሌሎች ሰዎችና ለሙያው ደጋፊ የሆነ አገልግሎት ሊሰጡ ከሚችሉ አጋሮቻቸው ጋር ሁለት ወይም ከዚያ በላይ ሆነው የሚያቋቁሙት እና ኃላፊነቱም በሽርክና ማኅበሩ ሃብት ላይ ብቻ የተወሰነ የንግድ ማኅበር ነው።

2.4 የአሽሙር ማህበር....

የአሽሙር ማህበር ሁለትና ከዚያ በላይ በሆኑ ሰዎች በመካከላቸዉ በሚያደርጉት ስምምነት መሠረት የሚያቋቁሙት ሲሆን ከሌሎች ለየት የሚያደርገው በጽሁፍ መረጋገጥና በሌሎች የንግድ ማህበሮች የተደነገጉ የማስመዝገብ ሰርዓቶች የማይፈፀሙበት፣ የሕግ ሰዉነት የሌለውና በሶስተኛ ወገኖች ዘንድ የማይታወቅ መሆኑ ሲሆን ከታወቀ ግን እንደ ሕብረት ሽርክና ማህበር እንደሚቆጠር ሊታወቅ ይገባል፡፡

2.5 የአክሲዮን ማህበር...

የአክሲዮን ማህበር ማለት በአዲሱ የንግድ ሕግ አንቀጽ 245 መሰረት ዋናው ገንዘቡ ወይም ካፒታሉ አስቀድሞ ተወስኖ በአክስዮን የተከፋፈለና ኃላፊነቱ በማኅበሩ ሀብት ብቻ የተወሰነ (ለዕዳው ንብረቱ ብቻ ዋስ የሆነ) ማኅበር ነው፡፡

2.6 ኃላፊነቱ የተወሰነ የግል ማህበር...

በአዲሱ የንግድ ሕግ አንቀጽ 495 መሰረት ኃላፊነቱ የተወሰነ የግል ማህበር ማለት ዋና ገንዘቡ በሙሉ አስቀድሞ የተከፈለ፣ በአክስዮን የተከፈለ እና ባለአክስዮኖች መዋጮቸዉን ገቢ እስካደረጉ ድረስ ለማኅበሩ ዕዳ ኃላፊ የማይሆኑበት የንግድ ማኅበር ነዉ፡፡

2.7 ባለአንድ አባል ኃላፊነቱ የተወሰነ የግል ማኅበር ...

ባለ አንድ አባል ኃላፊነቱ የተወሰነ የግል ማኅበር ማለት አንድ ሰዉ በግሉ በሚሰጠዉ መግለጫ መሰረት የተቋቋመ የንግድ ማኅበር ነዉ፡፡ ማኅበሩ ከአባሉ የተለየና የተነጠለ የራሱ የሕግ ሰዉነት አለዉ፡፡ አባሉ የራሱን መወጮ ሙሉ በሙሉ እስከ ከፈለ ድረስ ማኅበሩ ላይ ለሚፈለገዉ ዕዳ በግሉ አይጠየቅም፡፡ የማኅበሩ ዝቅተኛ ዋና ገንዘብ ከ ብር አስራ አምስት ሺህ ማነስ የለበትም፡፡ ማኅበሩን ለማቋቋም አባሉ የሚሰጠዉ መግለጫ ሰነዶችን ለማረጋገጥ ሥልጣን በተሰጠዉ አካል ፊት መደረግ አለበት፡፡ መግለጫዉም በንግድ መዝገብ ዉስጥ መግባት አለበት፡፡ ግለሰብ ነጋዴ የንግድ ሥራዉን ወደ ባለ አንድ አባል ኃላፊነቱ የተወሰነ የግል ማኅበርነት መለወጥ ይችላል፡፡

2.8 ኃላፊነቱ የተወሰነ የግል ማህበር ወደ ባለ አንድ ኃላፊነቱ የተወሰነ የግል ማህበር የሚቀየርበት ምክንያት...

ኃላፊነቱ የተወሰነ የግል ማህበር የአክስዮን አባላቱ እየቀነሱ በመምጣት ወደ አንድ ዝቅ ካለ እና በስድስት ወር ጊዜ ዉስጥ ሌላ ሰዉ ካልገባ ማኅበሩ የሚፈርስ ይሆናል። ይሁን እንጂ ይህ ካልሆነ የባለአክስዮኖቹ ቁጥር ወደ አንድ ዝቅ ካለበት ቀን ጀምሮ በስድስት ወራት ዉስጥ የመመስራቻ ጽሁፉን በማሻሻል ባለአንድ አባል ኃላፊነቱ የተወሰነ የግል ማኅበር አድርጎ ማስመዝገብ ይቻላል።

2.9 ባለ አንድ ኃላፊነቱ የተወሰነ የግል ማህበር በአዲሱ ማህበር የተካተተበት ዋና አላማ...

ይህ ማህበር በአዲሱ ንግድ የተካተተ ሲሆን ግለሰቦች የንግድ ስራቸውን ሲያከናውኑ ከራሳቸው ከግላቸው ሀብት በመነጠል የሚያቋቁሙት ማህበር በእዳም ቢሆን በህግ ጉዳዮች ክንውኖች የራሱን ጉዳይ ራሱ ማህበሩ ህጋዊ ሰውነት ኖሮት ህጋዊ የነሰግድ ስራዎችን የሚያንቀሳቅስ ነው።

በመጀመሪያው ንግድ ህግ ይህ ማህበር ባለመኖሩ ባለሀብቶች ይህን እድል መጠቀም አልቻሉም በቀድሞው ህግ ይህ ባለ አንድ ማህበር ስለሌለ ለቁጥር ብቻ አባሉ ከሁለት በላይ እንዲሆን ዘመዱን ቤተሰቡን አስገብቶ ሀብቱ የራሱ ብቻ ነገር ግን ሁለትና ከዚያ በላይ በሆኑ ሰወች እንደ ተመሠረተ በማድረግ ማህበሩ የሚመሰረት ሲሆን አለመግባባት ሲፈጠር ባለሀብት እንደፈለገ መምራት ያስቸግረዋል። በአዲሱ የንግድ ህግ ግን ይህ ማህበር በመፈቀዱ በአንድ አባል ኃላፊነቱ የተወሰነ የግል ማህበር መቋቋም በህግ መፈቀዱ ለባለሀብቶች ወሳኝነት ያለው ሲሆን ለንግድ እንቅሰቃሴው ከፍተኛ በርን የሚከፍት ነው።

ግለሰብ ነጋዴ የንግድ ሥራዉን ወደ ባለ አንድ አባል ኃላፊነቱ የተወሰነ የግል ማኅበርነት መለወጥ ይችላል፡፡ ሌላው ግለሰብ ነጋዴዎችም ባለ አንድ አባል ኃላፊነቱ የተወሰነ የግለሰብ ማኅበር ለመመስረት እና ባለ አንድ ማህበር መስረተው ንግዳቸውን እንዲያንቀሳቅሱ የሚረዳ ነው። ይሁን እንጂ ይህ ከመሆኑ ቀድሞ ለነበረበት ማህበር ከመሆኑ በፊት በግለሰብ ደረጃ ቀድሞ ለነበረበት ለግለሰብ ንግድ ስራ ለገባበት ዕዳ ሁሉ ከማኅበሩ ጋር በአንድነት እና በተናጠል ኃላፊ ነዉ፡፡
የተፈቀደ ሲሆን ይህ ለባለሀብቶች ትልቅ የንግድ
መስመር ነው።

3. ማጠቃለያ

እንደ ሩዋንዳው ፕሬዚዳንት ፖል ካጋሜ ያሉ መሪዎችም በተለያዩ የውይይት መድረኮች ላይ የመሪነት ሚናቸውን እየተወጡ ነው።

During the meeting, the CEO briefed participants on Ethio telecom’s transformational journey and its pivotal contribution to Ethiopia’s socio-economic advancement and digital transformation. በትራምፕ፣ በኢራን እና በግብፅ ጥላ ስር ያለ የፕሬዝዳንት ሄርዞግ የአዲስ አበባ ጉዞ

የእስራኤል ፕሬዝዳንት ይስሐቅ ሄርዞግ ወደ አዲስ አበባ ያደረጉት ጉዞ ከሁለትዮሽ ግንኙነት ባለፈ በታላላቅ ኃይላት መካከል እየተካሄደ ባለው የቀይ ባሕር ጂኦ-ፖለቲካዊ ፉክክር እና በአፍሪካ ቀንድ እየናኘ ባለው ውጥረት ላይ ያነጣጠረ ስትራቴጂካዊ እርምጃ ነው።

ይህ ጉዞ በቀጠናው ያለውን ኃይል ሚዛን እንዴት እንደሚቀይረው እንመልከት

ለእስራኤል የቀይ ባሕር ሰላም መሆን የኢኮኖሚ ብቻ ሳይሆን የሕልውና ጉዳይ ነው። በተለይም የየመኑ ሁቲዎች በባቢል መንደብ በኩል የሚያልፉ መርከቦችን ኢላማ ማድረጋቸው እስራኤል በቀጠናው አዳዲስና ጠንካራ ወዳጆችን እንድትፈልግ አስገድዷታል።

ኢትዮጵያ በቅርቡ ከሶማሊላንድ ጋር የተፈራረመችው የመግባቢያ ስምምነት (MoU) እና የባሕር በር የማግኘት ፍላጎቷ ከእስራኤል ስትራቴጂ ጋር ይጋጠማል። እስራኤል ኢትዮጵያ በቀይ ባሕር ላይ ያላት ተጽዕኖ እንዲጎለብት ትፈልጋለች ምክንያቱም ጠንካራ ኢትዮጵያ በቀጠናው መኖሯ የኢራን ተላላኪዎችን እንቅስቃሴ ለመግታት ይረዳታል።

እስራኤል ከኤርትራ ጋር ያላት ግንኙነት ውስብስብ በሆነበት በዚህ ወቅት ከኢትዮጵያ ጋር የምታደርገው ጥብቅ ትብብር በቀይ ባሕር ምሥራቃዊ ዳርቻ ላይ የሚኖራትን የደህንነት ክትትልና የመረጃ ልውውጥ (Intelligence sharing) ያጠናክርላታል።

በአሁኑ ወቅት አፍሪካ ቀንድ በግብፅ፣በሶማሊያ እና በኢትዮጵያ መካከል ባለው የዲፕሎማሲ ፍጥጫ ውስጥ ትገኛለች። የፕሬዝዳንቱ ጉብኝት በዚህ ፍጥጫ ውስጥ ግልጽ የሆነ መልዕክት ያስተላልፋል ግብፅ በሶማሊያ በኩል ወታደራዊ መገኘቷን ለማሳየት የምታደርገው ጥረት ለእስራኤል ስጋት ሊሆን ይችላል።

እስራኤል በታሪክ ግብፅን ብቸኛ የዓባይ ተጠቃሚና የቀጠናው መሪ አድርጎ የመቀበል ዝንባሌ የላትም። የፕሬዝዳንቱ ጉብኝት እስራኤል ለኢትዮጵያ ያላትን ስትራቴጂካዊ ድጋፍ በማሳየት ግብፅ በቀጠናው የምታደርገውን መስፋፋት በዲፕሎማሲያዊ መንገድ የመመገደብ (Counter-balancing) ፋይዳ አለው።

በሱዳን ያለው የእርስ በርስ ጦርነትና የመንግሥት አልባነት ሁኔታ እስራኤል በአፍሪካ ቀንድ የነበራትን አንድ ወዳጅ እንድታጣ አድርጓታል። በመሆኑም ኢትዮጵያ በቀጠናው ብቸኛዋ አስተማማኝ አጋር ሆና መገኘቷ የፕሬዝዳንቱን ጉዞ የግድ እንዲሆን አድርጎታል።

ኢራን በአፍሪካ ቀንድና በሳህል ሀገራት (Sahel region) ውስጥ ያላትን ተጽዕኖ ለማስፋት ከፍተኛ በጀትና ዲፕሎማሲያዊ ጥረት እያደረገች ነው።
እስራኤል የፕሬዝዳንቷን ጉዞ እንደ "ዲፕሎማሲያዊ ጋሻ" ትጠቀማለች።

ኢትዮጵያ በኢራን ወጥመድ ውስጥ እንዳትገባና ቀጠናው ለፀረ-እስራኤል ኃይሎች መፈልፈያ እንዳይሆን ትልቅ የግንኙነት ግንብ መገንባት ትፈልጋለች።

ፕሬዝዳንት ሄርዞግ ይዘውት የመጡት አጀንዳ "ቴክኖሎጂና ግብርና" ቢመስልም፣ ከጀርባው ያለው ትልቁ ጉዳይ ግን የደህንነትና የመረጃ ትብብር (Security partnership) ነው።

ኢትዮጵያ ከዚህ ጉብኝት የምታገኘው ፋይዳ ከፍተኛ ነው በዓለም አቀፍ ደረጃ (በተለይም በምዕራባውያን ዘንድ) ያላትን ተቀባይነት ከፍ ያደርገዋል።

እስራኤል በዋሽንግተን ያላት ተሰሚነት ከፍተኛ በመሆኑ የፕሬዝዳንቱ ጉብኝት ለኢትዮጵያ ቀጥተኛ ያልሆነ የዲፕሎማሲ ድጋፍ ነው በአሁኑ ወቅት በዋሽንግተን ያለው የዶናልድ ትራምፕ አስተዳደር "ሰላም በጉልበት" (Peace through Strength) የሚል ፖሊሲን እየተከተለ ይገኛል እስራኤል ወደ አፍሪካ የምታደርገው ጉዞ በትራምፕ አስተዳደር በኩል ትልቅ ድጋፍ አለው ይህ ጉብኝት ኢትዮጵያ በትራምፕ አዲስ የዓለም ፖሊሲ ውስጥ ያላትን ስትራቴጂካዊ ቦታ የምታጠናክርበትና በእስራኤል በኩል ወደ ዋሽንግተን የምታደርገውን የዲፕሎማሲ መስመር የምታሰምርበት እና ኢትዮጵያ የቀይ ባሕር ባለቤትነት ጥያቄዋን በታላላቅ ሀገራት ዘንድ እውቅና ለማግኘት የምታደርገውን ጥረት ያግዛል።

የፕሬዝዳንት ይስሐቅ ሄርዞግ ጉብኝት ተራ የጎረቤት ጥሪ ሳይሆን በቀይ ባሕር ላይ እየተነሳ ያለውን ማዕበል ለመቋቋም የተዘረጋ ስትራቴጂካዊ መስመር ነው።

ጉዞው ኢትዮጵያ የአፍሪካ ቀንድ ማዕከል ናት እስራኤል ደግሞ የዚህ ማዕከል ደህንነት ያሳስባታል የሚል ደፋር መልዕክት ለቀጠናው ሀገራት ያስተላለፈ ነው።

መግቢያ #ethiopia | ሰዎች በኢኮኖሚያዊ እንቀስቃሴ ለመሰማራት በህብረት ገንዘብ እውቀት ሙያ ንብረት ጉልበታቸውን በማወጣት ተደራጅተው ከሚገኘዉ ትርፍ ተካፋይ ለመሆን በመመስረቻ ጽሁፍ አማካኝነት ህጋዊ የንግድ ማህበር ያቋቁማሉ።የንግድ ማህበራት አንድና ከዚያ በላይ የሆኑ ሰዎች ዕውቀታቸውን፣ በዚህ አጭር ጽሁፍ አጠቃላይ የንግድ ማህበራትን በህጉ የተካተቱን በመጥቀስ በተለይም የባለ አንድ አባል ኀላፊነቱ የተወሰነ የግል ማህበርን በተመለከት በተለየ መልኩ በማንሳት ግንዛቤን ለማስጨበጥ እንሞክራለን።

1. የንግድ መኅበራት ጽንሰ ሀሳብ በኢፊድሪ ህገመንግስት...
ሰወች በግልም በሆነ በህብረት የንግድ ስራን የመስራት መብት በኢፊድሪ ህገ መንግስት በቀድሞውም ሆነ በአዲሱ የንግድ አዋጅ ሆነ በሌሎች አግባብነት ያላቸው አዋጆች የተሰጠ መብት ነው። የንግድ ስራዎችን ለመስራት የመደራጀት መብት በኢ.ፌ.ዲ.ሪ ህገ-መንግስት አንቀፅ 31 ላይ “ማንኛውም ሰው ለማንኛውም ዓላማ በማህበር የመደራጀት መብት አለው፡፡ ይህም በንግድ ማህበር የመደራጀትን መብት የሚፈቅድ መሆኑን የሚያመላክት ነው፡፡ ይህ በንግድ ማህበራት የመደራጀት መብት በህገመንግስቱ አንቀፅ 41(2) “ሁሉም ኢትዮጵያዊ መተዳደርያውን ስራውንና ሙያውን የመምረጥ መብት አለው” ከሚለው ህገ-መንግስታዊ መብት አንፃር ያየነው እንደሆነም ዜጎች አዋጪ ነው ባሉት የንግድ ማህበር መርጠው እንደመተዳደርያ ስራቸው አድርው መውሰድ ይችላሉ።

2. የንግድ ማህበራት አይነቶች በአዲሱ ንግድ ህግ አዋጅ ቁጥር 1243/13
በአዲሱ የንግድ ሕግ አንቀጽ 174 መሰረት በእኛ ሀገር ሰባት ዓይነት የንግድ ማኅበራት አሉ፡፡ እነሱም፡-
የኅብረት ሽርክና ማኅበር / General Partnership/
ሁለት አይነት ኃላፊነት ያለበት የሽርክና ማህበር /Limited Partnership/
ኃላፊነቱ የተወሰነ የሽርክና ማኅበር /Limited Liability Partnership/
የአሽሙር ማህበር /Joint Ventur/
የአክሲዮን ማህበር /Share Company/
ኃላፊነቱ የተወሰነ የግል ማህበር /Private Limited Company/ እና
ባለ አንድ አባል ኃላፊነቱ የተወሰነ የግል ማኅበር / One Person private limited Company/ ናቸው፡፡

2.1. የኅብረት ሽርክና ማህበር
የህብረት ሽርክና ማህበር በአዲሱ የንግድ ሕግ አንቀጽ 283 መሰረት ማኅበርተኞች እያንዳንዳቸው ባንድነትና ሳይከፋፈል እርስ በርሳቸውና ለማህበሩ ግዴታዎች አላፊዎች የሚሆኑበት ማኅበር ነው፡፡ ይህም ማለት ማህበሩ ለሚያጋጥመው አደጋ ወይም እዳ ሁሉ እያንዳንዱ አባል በግሉ፣ ወይም ሁሉም በአንድነት ወይም ከሁሉም የተወሰኑት ብቻ በተናጥል ለእዳው ተጠያቂ ሊሆኑ ይችላሉ ማለት ነው፡፡ ማንኛዉም ተቃራኒ ስምምነት ሦስተኛ ወገኖችን መቃወሚያ ሊሆን አይችልም፡፡

2.2. ሁለት ዓይነት ኃላፊነት ያለበት የሽርክና ማኅበር....
ሁለት ዓይነት ኃላፊነት ያለበት የሽርክና ማኅበር ከስሙ እንደምንረዳው የማኅበርተኞቹ ኃላፊነት የተለያየ የሆነበት ማኅበር ነዉ፡፡ እነሱም ኃላፊነታቸዉ ያልተወሰነ ሸሪኮችና ኃላፊነታቸዉ የተወሰነ ሸሪኮች ናቸው፡፡ በአዲሱ የንግድ ህግ አንቀጽ 212 መሰረት ኃላፊነታቸው ያልተወሰነ ሸሪኮች የሚባሉት ለማኅበሩ ግዴታዎች በሙሉ ከማኅበሩ ጋር በአንድነትና በተናጠል ኃላፊነት ያለባቸዉ ሲሆን ኃላፊነታቸዉ የተወሰነ ሸሪኮች ደግሞ መዋጮ ለማድረግ ቃል በገቡት መጠን ብቻ ለማኅበሩ ግዴታች ኃላፊ የሚሆኑ ናቸዉ፡፡ ኃላፊነታቸው የተወሰነ ሸሪኮች በወክልናም ሆነ በሌላ በማንኛዉም ሁኔታ የማህበሩ ሥራ አስኪያጅ መሆን አይችሉም፡፡

2.3.ኃላፊነታቸው የተወሰነ የሙያ ሽርክና ማኅበራት ....
በአዲሱ የንግድ ህግ ውስጥ ከተካተቱ ጉልህ ለውጦች መካከል አንዱ የሆነው ይህ አዲስ የሽርክና ማህበር አይነት፣ ሰዎች በተለይም የሙያ ስራዎችን ለመስራት በሙያ ከሚመስሏቸው ሌሎች ሰዎችና ለሙያው ደጋፊ የሆነ አገልግሎት ሊሰጡ ከሚችሉ አጋሮቻቸው ጋር ሁለት ወይም ከዚያ በላይ ሆነው የሚያቋቁሙት እና ኃላፊነቱም በሽርክና ማኅበሩ ሃብት ላይ ብቻ የተወሰነ የንግድ ማኅበር ነው።

2.4 የአሽሙር ማህበር....
የአሽሙር ማህበር ሁለትና ከዚያ በላይ በሆኑ ሰዎች በመካከላቸዉ በሚያደርጉት ስምምነት መሠረት የሚያቋቁሙት ሲሆን ከሌሎች ለየት የሚያደርገው በጽሁፍ መረጋገጥና በሌሎች የንግድ ማህበሮች የተደነገጉ የማስመዝገብ ሰርዓቶች የማይፈፀሙበት፣ የሕግ ሰዉነት የሌለውና በሶስተኛ ወገኖች ዘንድ የማይታወቅ መሆኑ ሲሆን ከታወቀ ግን እንደ ሕብረት ሽርክና ማህበር እንደሚቆጠር ሊታወቅ ይገባል፡፡

2.5 የአክሲዮን ማህበር...
የአክሲዮን ማህበር ማለት በአዲሱ የንግድ ሕግ አንቀጽ 245 መሰረት ዋናው ገንዘቡ ወይም ካፒታሉ አስቀድሞ ተወስኖ በአክስዮን የተከፋፈለና ኃላፊነቱ በማኅበሩ ሀብት ብቻ የተወሰነ (ለዕዳው ንብረቱ ብቻ ዋስ የሆነ) ማኅበር ነው፡፡

2.6 ኃላፊነቱ የተወሰነ የግል ማህበር...
በአዲሱ የንግድ ሕግ አንቀጽ 495 መሰረት ኃላፊነቱ የተወሰነ የግል ማህበር ማለት ዋና ገንዘቡ በሙሉ አስቀድሞ የተከፈለ፣ በአክስዮን የተከፈለ እና ባለአክስዮኖች መዋጮቸዉን ገቢ እስካደረጉ ድረስ ለማኅበሩ ዕዳ ኃላፊ የማይሆኑበት የንግድ ማኅበር ነዉ፡፡

2.7 ባለአንድ አባል ኃላፊነቱ የተወሰነ የግል ማኅበር ...
ባለ አንድ አባል ኃላፊነቱ የተወሰነ የግል ማኅበር ማለት አንድ ሰዉ በግሉ በሚሰጠዉ መግለጫ መሰረት የተቋቋመ የንግድ ማኅበር ነዉ፡፡ ማኅበሩ ከአባሉ የተለየና የተነጠለ የራሱ የሕግ ሰዉነት አለዉ፡፡ አባሉ የራሱን መወጮ ሙሉ በሙሉ እስከ ከፈለ ድረስ ማኅበሩ ላይ ለሚፈለገዉ ዕዳ በግሉ አይጠየቅም፡፡ የማኅበሩ ዝቅተኛ ዋና ገንዘብ ከ ብር አስራ አምስት ሺህ ማነስ የለበትም፡፡ ማኅበሩን ለማቋቋም አባሉ የሚሰጠዉ መግለጫ ሰነዶችን ለማረጋገጥ ሥልጣን በተሰጠዉ አካል ፊት መደረግ አለበት፡፡ መግለጫዉም በንግድ መዝገብ ዉስጥ መግባት አለበት፡፡ ግለሰብ ነጋዴ የንግድ ሥራዉን ወደ ባለ አንድ አባል ኃላፊነቱ የተወሰነ የግል ማኅበርነት መለወጥ ይችላል፡፡ ይቻላል።

3.1 የህግ ምክር
በአዲስ የንግድ ህጋችን ላይ የተቀመጡትን የንግድ ማህበራት በተገቢው መንገድ በመረዳት ነጋዴው ያሻውን በመምረጥ መስራት የሚችል ሲሆን ሌላይኛውም ማህበረሰብ ፣ ባለሙያዎች ቀድሞ ግንዛቤ መውሰድ አስፈላጊ ነው።

አምባሳደሩ በዚሁ ወቅት የቀድሞው የአሜሪካ ፕሬዝዳንት ሃሪ ትሩማንን ታሪክና ስራዎች የሚዘክሩ መጽሐፍትን ለዩኒቨርሲቲው በስጦታ አበርክተዋል።

ይህ ስጦታ በዩኒቨርሲቲውና በአሜሪካ መካከል ያለውንና እ.ኤ.አ በ1950ዎቹ በፕሬዝዳንት ትሩማን ዘመን የተጀመረውን የቆየ አጋርነት እውቅና ለመስጠት የታለመ መሆኑ ተገልጿል።

ዩኒቨርሲቲው በቅርቡ ቤተ-መጽሐፍቱን በፕሬዝዳንት ሃሪ ትሩማን ስም ለመሰየም ለወሰነው ውሳኔም አምባሳደሩ ምስጋና አቅርበዋል።

ባህርዳር፣ ህዳር 21 ፣2018 ዓም --- የአፍሪካ የቀዳማይ ልጅነት ልማት ማዕከል የአማራ ክልልን የቀዳማይ ልጅነት ልማት መነሻ የዳሰስ ጥናት ከባህርዳር ዩኒቨርስቲ ጋር በትብብር ያተከናወነ ሲሆን የቀዳማይ ልጅነት ዕድገት በምን ደረጃ እና ሁኔታ ላይ እንዳለ ያመለከተና ለዉሳኔ ሰጪዎች ተጨባጭ መረጃ ለማድረስ ታስቦ የተሰራ ነዉ፡፡

ጥናቱ ለክልሉ የመጀመሪያና ሁለንትናዊ ሲሆን የአለም አቀፍ መስፈርቶችን በመከተል የተሰራ ነዉ። ከክልሉ መንግስትና አጋር አካላት ጋር በማስተባበር ሊወስድ ስለሚገባዉ የመፍትሄ እርምጃ እና የትኩረት አቅጣጫዎችን አመላክቷል፡፡

ጥናቱ ጨዋታን መሰረት ያደረገን የቀዳማይ ትምህርት እድልን፣ የጤናና የስርአተ-ምግብን ፣የህፃናትን ጥበቃና ከለላን እና ልሎች አስፈላጊ የሆኑ መለኪያዎችን ጨምሮ በህፃናት ልማት ውጤቶች ላይ ያተኮረ ነዉ።

ጥናቱ በክልሉ የዞን ከተሞችና በዙሪያቸዉ ያለውን ገጠራማ ወረዳዎች በማካተት የዳሰሰ ነዉ።

ከ6,000 በላይ ተሳታፊዎች በዚህ ጥናት የተካተቱ ሲሆን ከሰባት ዓመት በታች ልጆች ያሏቸው ቤተሰቦችን እንዲሁም ከ4–6 ዓመት ዕድሜ ያላቸውን የቀዳማይ ትምህርት የሚከታተሉ ሕፃናት ላይ አተኩሮ የተሰራም ነዉ።

የባህር ዳር ዩኒቨርሲቲ ተመራማሪዎች በዓለም አቀፍ ደረጃ የተመሰከረላቸዉን የምርምር ዘዴዎች በመጠቀም የቀዳማይ ልጅነት አገልግሎት ጥራትን፣ የህፃናትን ተንከባካቢዎችንና ወላጆችን ሁንታዎችን ጨምሮ ሁለንተናዊ እድገታቸዉን የዳሰሰም ነበር።

የአፍሪካ የቀዳሚ ልጅነት ልማት ማዕከል ጥናቱን ለማካሄድ ይህን ከBig Win Philanthropy የፋይናንስና የቴክኒክ ድጋፍ ያገኘ ሲሆን ጥናቱንም ከባህርዳር ዩኒቨርስቲ ጋር በትብብር አከናዉኗል ።

Bahir Dar to Host Release of Amhara Regional State’s Groundbreaking ECD Baseline Survey Report Today

Bahir Dar - November 30, 2025- The African Center For Early Childhood Development (AfC-ECD) in partnership with the Bahir Dar University Bahir Dar,Ethiopia will today officially release the findings of the groundbreaking Early Childhood Development (ECD) Baseline Survey conducted in the Amhara Regional State.

The report, to be unveiled in Bahir Dar—the beautiful lakeside city on the shores of Lake Tana—highlights critical insights into child development outcomes, including growth, early learning, health, nutrition, and other indicators essential to children’s well-being.

More than 6,000 participants took part in the study, which focused on households with children under seven years of age, as well as pre-primary school children aged 4–6 years.

The study covers five clusters of zonal towns in the region and including their surrounding rural districts.

Researchers from Bahir Dar University employed internationally validated research tools—the Caregiver-Reported Early Development Instruments (CREDI) for children under three, and the International Development and Early Learning Assessment (IDELA) for children aged 3–6—to assess early childhood service quality, caregiver practices, systemic challenges, and children’s developmental outcomes.

These tools helped measure physical, cognitive, social, and early learning developmental milestones for young children, including developmental scores for pre-primary learners aged 4–6.

The African Center for Early Childhood Development received financial and technical support from Big Win Philanthropy to outsource the survey to Bahir Dar University.
